Acceptance and eligibility
These Terms of Use ("Terms") are an agreement between you and Modern Foundry LLC ("Modern Foundry," "we," "us," or "our"). By accessing or using the Modern Foundry website, RiffKey, or related services, you agree to these Terms and our Privacy Policy. If you do not agree, do not use the services.
You must be legally able to enter this agreement. If you are under the age of majority where you live, a parent or legal guardian must review and agree to these Terms for you.
What RiffKey provides
RiffKey provides music-theory, fretboard, chord, riff-building, playback, tuning-reference, saving, import, export, and sharing tools. Features may differ by device, operating system, browser, app version, region, or purchase tier.
RiffKey is an educational and creative aid. It does not guarantee musical, instructional, accessibility, compatibility, performance, or commercial results. You remain responsible for how you tune, play, record, publish, or otherwise use your instrument and musical work.
License and ownership
Subject to these Terms, Modern Foundry grants you a limited, personal, non-exclusive, non-transferable, and revocable license to use RiffKey for lawful personal or internal business purposes.
Modern Foundry and its licensors retain all rights in the software, website, visual design, branding, documentation, and other materials we provide. Except where applicable law expressly permits it, you may not:
- Copy, resell, sublicense, rent, redistribute, or commercially host RiffKey or substantial parts of it.
- Remove ownership notices or misrepresent yourself as the creator or authorized distributor of RiffKey.
- Reverse engineer, bypass access or purchase controls, or interfere with the service's security or operation.
- Use the services to violate law, infringe another person's rights, distribute malware, or disrupt other users.
Your riffs and shared content
You retain ownership of the original riffs, note sequences, and other musical content you create. Modern Foundry does not claim ownership of your music merely because you use RiffKey.
You are responsible for the content you create, import, export, or share and for ensuring you have the necessary rights to use it. A QR code or shared link may allow anyone who receives it to access the encoded RiffKey configuration. Share only with people you intend to receive it, and do not encode personal, confidential, infringing, or unlawful material.
Purchases and third-party platforms
If we offer paid products or features, the price and purchase terms shown at checkout apply. Purchases made through Google Play or another platform are also subject to that platform's billing, refund, and account terms. The platform—not Modern Foundry—may process your payment details.
Unless applicable law or the store's rules require otherwise, purchasing software grants a license to use the purchased version or features; it does not transfer ownership of the software or guarantee every future feature, platform, or major release. Taxes may apply based on your location and the platform's practices.
Updates and availability
We may improve, update, add, remove, limit, suspend, or discontinue features or services. We do not promise uninterrupted operation, permanent availability, compatibility with every device, or recovery of locally stored data. You are responsible for maintaining any copies or exports you consider important.
Third-party platforms, browsers, operating systems, and hosting providers may affect availability and are outside our control. Links to third-party services are provided for convenience and do not make us responsible for their content or practices.
Disclaimers
Modern Foundry disclaims implied warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, and quiet enjoyment. We do not warrant that the services will be error-free, secure, continuously available, or compatible with every instrument, speaker, audio system, browser, or device. Some jurisdictions do not allow certain warranty exclusions, so parts of this section may not apply to you.
Limitation of liability
To the fullest extent permitted by law, Modern Foundry and its owners, employees, contractors, and affiliates will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost data, business interruption, device damage, or loss of goodwill arising from or related to the services.
To the fullest extent permitted by law, Modern Foundry's total liability for all claims arising from or related to a service will not exceed the amount you paid Modern Foundry for that service during the twelve months before the event giving rise to the claim. If you paid nothing, total liability will not exceed ten U.S. dollars. These limitations do not exclude liability that cannot legally be limited.
Changes, governing law, and general terms
We may update these Terms when the services or applicable requirements change. The effective date above will be revised when changes are posted. Continued use after revised Terms take effect means you accept the revised Terms, to the extent permitted by law.
These Terms are governed by the laws of the State of Michigan, without regard to conflict-of-law principles, except where the law where you live requires otherwise. If any provision is found unenforceable, it will be limited or removed only as necessary, and the remaining provisions will continue in effect. Our failure to enforce a provision is not a waiver. These Terms and the Privacy Policy form the entire agreement regarding the services unless separate written terms apply.
